Acceptance of Terms

Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, and software, are the exclusive property of Acarin or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Intellectual Property

We respect the intellectual property rights of our clients. Any pre-existing intellectual property provided by clients remains their property. Deliverables created specifically for clients under a service agreement will be owned as specified in the applicable service agreement.

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party during the provision of Services. This obligation survives termination of these Terms.

Payment Terms

Payment terms for specific Services will be outlined in separate service agreements or statements of work. General terms include:

• Fees are due as specified in the applicable agreement
• Late payments may incur interest charges
• All fees are non-refundable unless otherwise stated
• Client is responsible for all taxes related to the Services

Warranties and Disclaimers

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL ACARIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Indemnification

You agree to indemnify, defend, and hold harmless Acarin and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our Services.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be instituted in the federal or state courts located in Maryland.

Dispute Resolution

Negotiation

The parties shall first attempt to resolve any dispute through good faith negotiations.

Arbitration

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Acarin regarding the use of our Services and supersede all prior agreements and understandings.

Amendments

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms.
